These Terms of Service ("Terms") govern your access to and use of UseAI Support's platform, services, and applications (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using our Services, you confirm that you are at least 18 years old, have the authority to enter into these Terms, and agree to comply with all applicable laws and regulations. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Services

UseAI Support provides an AI-powered platform that includes:

• Knowledge Base: Document upload, processing, and AI-powered question answering.
• Lead Discovery: Tools to find and enrich business leads using public data sources including Google Maps.
• Reddit Intent Signals: Monitoring of configured subreddits for buying intent signals and identity resolution.
• AI Email Outreach: AI-drafted personalized emails for sales outreach.
• Analytics: Dashboards and reporting for tracking usage and outcomes.

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time with reasonable notice.

3. Account Registration

3.1 Account Creation

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

3.2 Account Security

You must immediately notify us of any unauthorized use of your account or any security breach. We are not liable for losses caused by unauthorized use of your account.

3.3 Organization Accounts

Organization administrators are responsible for managing team member access and ensuring compliance with these Terms by all users in their organization.

4. Acceptable Use

4.1 Permitted Uses

You may use our Services for lawful business purposes in accordance with these Terms.

4.2 Prohibited Uses

You agree NOT to:

• Use the Services for any illegal purpose or in violation of any laws
• Make calls to numbers on do-not-call registries without proper consent
• Engage in harassment, spam, or abusive communications
• Impersonate others or misrepresent your identity or affiliation
• Distribute malware, viruses, or harmful code
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the Services or servers
• Scrape, crawl, or collect data from the Services without permission
• Use the Services to build a competing product
• Reverse engineer, decompile, or attempt to extract source code
• Remove or alter any proprietary notices or labels
• Resell or redistribute the Services without authorization

4.3 AI Email Compliance

When using AI email features, you must:

• Comply with all applicable email marketing laws (including CAN-SPAM, GDPR, and other regulations)
• Obtain proper consent before sending marketing emails
• Honor unsubscribe requests promptly
• Include required sender information and unsubscribe links
• Not use AI email features for spam or deceptive purposes
• Maintain records of consent as required by law

4.4 Reddit Intent Monitoring Compliance

When using Reddit intent signal features, you must:

• Comply with Reddit's Terms of Service and API terms when applicable
• Only monitor public subreddits and publicly available content
• Not use the Services to harass, stalk, or target individual Reddit users
• Respect Reddit users' privacy and not attempt to de-anonymize users beyond publicly available information
• Not use collected data for purposes that violate applicable privacy laws
• Ensure any outreach to identified contacts complies with applicable marketing laws
• Not engage in any activity that could result in your or our accounts being banned from Reddit

5. Your Content

5.1 Ownership

You retain ownership of all content, data, and materials you upload to the Services ("Your Content"). You grant us a limited license to use Your Content solely to provide and improve the Services.

5.2 Responsibility

You are solely responsible for Your Content and ensuring you have all necessary rights to upload and use it. You represent that Your Content does not violate any third-party rights or applicable laws.

5.3 Content Restrictions

You may not upload content that:

• Infringes intellectual property rights
• Contains personal information without proper authorization
• Is defamatory, obscene, or offensive
• Contains malicious code or harmful materials
• Violates export control or sanctions laws

6. Intellectual Property

6.1 Our Intellectual Property

The Services, including all software, designs, text, graphics, and other materials, are owned by UseAI Support or our licensors and are protected by intellectual property laws. You receive only a limited license to use the Services as described in these Terms.

6.2 Feedback

If you provide feedback, suggestions, or ideas about the Services, you grant us the right to use them without restriction or compensation.

7. Fees and Payment

7.1 Pricing

Fees for the Services are described on our pricing page. We may change pricing with 30 days' notice. Price changes will apply to the next billing cycle after notice.

7.2 Payment

You agree to pay all fees when due. Fees are charged in advance for subscription periods. All payments are non-refundable except as required by law or stated in our refund policy.

7.3 Taxes

Fees exclude applicable taxes. You are responsible for paying all taxes associated with your use of the Services.

7.4 Late Payment

We may suspend or terminate your access if payment is overdue. Late payments may incur interest at 1.5% per month or the maximum legal rate.

8. Term and Termination

8.1 Term

These Terms are effective when you first access the Services and continue until terminated. Subscription terms renew automatically unless cancelled.

8.2 Termination by You

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period.

8.3 Termination by Us

We may suspend or terminate your access if you:

• Violate these Terms
• Fail to pay fees when due
• Engage in conduct that harms other users or our reputation
• Are subject to sanctions or export restrictions

8.4 Effect of Termination

Upon termination, your right to use the Services ends immediately. We may delete Your Content after a 30-day grace period. Provisions that by their nature should survive termination will remain in effect.

9. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Services will be uninterrupted, error-free, or secure
• AI outputs will be accurate, complete, or suitable for your purposes
• Lead data or enrichment information will be accurate or current
• The Services will meet your specific requirements

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, USEAI SUPPORT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, REGARDLESS OF THE THEORY OF LIABILITY.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNTS PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless UseAI Support and our officers, directors, employees, and agents from any claims, damages, losses, and expenses (including legal fees) arising from:

• Your use of the Services
• Your Content
• Your violation of these Terms
• Your violation of any laws or third-party rights
• Your AI email campaigns and communications

12. Dispute Resolution

12.1 Informal Resolution

Before filing a claim, you agree to contact us at legal@useaisupport.com to attempt informal resolution for at least 30 days.

12.2 Arbitration

Any disputes not resolved informally will be resolved by binding arbitration under the rules of the American Arbitration Association. Arbitration will be conducted in San Francisco, California. You waive the right to participate in class actions or class arbitrations.

12.3 Exceptions

Either party may seek injunctive relief in court for intellectual property violations or unauthorized access to the Services.

13. General Provisions

13.1 Governing Law

These Terms are governed by the laws of the State of California without regard to conflict of law principles.

13.2 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and UseAI Support regarding the Services.

13.3 Modifications

We may modify these Terms at any time. Material changes will be notified via email or in-app notice at least 30 days before taking effect. Continued use after changes constitutes acceptance.

13.4 Waiver and Severability

Failure to enforce any right is not a waiver. If any provision is found unenforceable, the remaining provisions continue in effect.

13.5 Assignment

You may not assign these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
